Agreement structure. These website Terms do not by themselves create a consulting engagement. Any project requires a mutually accepted written agreement that defines scope, deliverables, fees, responsibilities, data handling, and other project-specific terms. If that agreement conflicts with these Terms, the signed agreement controls for the project.
1. Acceptance and eligibility
These Terms of Service (“Terms”) are a binding agreement between you and Good Source Global LLC (“Good Source,” “we,” “us,” or “our”) governing access to and use of this website and its publicly available content. By accessing or using the website, you represent that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.
You must be at least 18 years old and legally capable of entering a contract. If you use the website on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. This website is intended for business and professional audiences, not consumers seeking personal, household, banking, or financial services.
2. Website information and consulting services
The website describes Good Source’s capabilities in software engineering, API and data-pipeline automation, AI and machine-learning infrastructure modeling, digital product engineering, and related consulting. Website descriptions are general information, not a binding offer, warranty, service-level commitment, professional opinion, or promise of a particular outcome.
Consulting services begin only when the parties enter a written master services agreement, statement of work, proposal, order form, or other engagement document accepted by authorized representatives (an “Engagement Agreement”). Each Engagement Agreement may specify deliverables, milestones, assumptions, dependencies, acceptance criteria, change control, personnel, security requirements, and support obligations. We may accept or decline any inquiry at our discretion.
Unless an Engagement Agreement expressly states otherwise, Good Source does not act as a bank, money transmitter, payment processor, fiduciary, legal adviser, accountant, or regulated financial institution; does not hold or transfer client funds; and does not make regulatory or legal compliance determinations for a client.
3. Permitted website use
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the website for lawful business-information purposes. You may not:
- use the website in violation of law, regulation, sanctions, export controls, or third-party rights;
- attempt to gain unauthorized access to the website, hosting environment, accounts, systems, or data;
- introduce malware, excessive automated traffic, denial-of-service activity, or security-testing traffic without prior written permission;
- scrape, harvest, or systematically extract website content or contact details for unsolicited marketing, model training, resale, or competitive replication;
- misrepresent affiliation with Good Source or use our identity, content, or marks in a deceptive manner; or
- remove proprietary notices, reverse engineer protected components, or interfere with the website’s operation.
We may restrict or block access when we reasonably believe use is abusive, unlawful, insecure, or inconsistent with these Terms.
4. Client responsibilities
For a consulting engagement, the client must provide timely access to accurate requirements, systems, data, personnel, environments, approvals, decisions, and third-party resources identified in the Engagement Agreement. The client is responsible for its business decisions, internal controls, legal compliance, data accuracy, backups, user permissions, and use of deliverables, except to the extent the Engagement Agreement expressly assigns a responsibility to Good Source.
The client represents that it has all rights, permissions, notices, and lawful bases required for materials, software, credentials, personal information, datasets, model inputs, and instructions it provides (“Client Materials”). The client will not provide production credentials, regulated data, payment-card data, government identifiers, or other sensitive material through the public contact form or ordinary email. Secure access methods and approved environments must be agreed before such information is used.
Project timing and cost may be affected by delayed access, decisions, approvals, third-party dependencies, scope changes, inaccurate assumptions, or client-requested pauses. Good Source is not responsible for delay or nonperformance caused by matters outside its reasonable control or by the client’s failure to satisfy dependencies.
5. Fees, invoices, taxes, and payment
Fees and payment schedules are defined in the applicable Engagement Agreement. Unless that agreement states otherwise: invoices are due in US dollars within fifteen (15) calendar days of the invoice date; work may require a non-refundable mobilization deposit or advance retainer credited against the specified services; bank, intermediary, currency-conversion, and payment-processing charges are the client’s responsibility; and fees exclude sales, use, value-added, withholding, goods-and-services, and similar taxes.
The client is responsible for applicable taxes other than taxes on Good Source’s net income. If law requires withholding, the client will provide valid documentation and, where the Engagement Agreement requires, gross up the payment so Good Source receives the contracted net amount. The client must raise a good-faith invoice dispute in writing within seven (7) calendar days after receipt, identifying the specific amount and basis. Undisputed amounts remain payable on time.
Overdue undisputed amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate, plus reasonable collection costs. Good Source may suspend work or withhold delivery after giving written notice of an overdue amount. Suspension does not waive the payment obligation and may require schedule and resource adjustments. Deposits, retainers, consumed service time, approved expenses, and completed milestones are non-refundable except as expressly stated in the Engagement Agreement.
6. Changes, acceptance, and third-party services
Either party may propose a scope change. Good Source is not required to perform changed or additional work until the parties approve the impact on fees, timing, responsibilities, and deliverables in writing. Minor clarifications that do not materially alter effort or risk may be handled through documented project decisions.
Deliverable review and acceptance procedures are specified in the Engagement Agreement. If none are specified, the client must notify Good Source of a material, reproducible nonconformity with agreed written requirements within ten (10) business days after delivery. Good Source will use commercially reasonable efforts to correct a confirmed nonconformity. A deliverable is deemed accepted when the review period expires without such notice, the client uses it in production, or the client materially modifies it.
Modern solutions may depend on client-selected or third-party hosting, APIs, open-source software, commerce platforms, payment systems, AI models, data providers, and networks. Those services are governed by their own terms, availability, pricing, security, and technical changes. Unless expressly agreed, Good Source does not control and is not responsible for a third party’s service, output, outage, policy, model behavior, or change. Third-party fees are the client’s responsibility.
7. Intellectual property
The website, brand, design, text, graphics, code, methods, and other materials made available by Good Source are owned by Good Source or its licensors and protected by intellectual-property laws. “Good Source Global LLC,” its visual identity, and associated marks may not be used without prior written permission. No right is granted except the limited website-use right stated above.
Ownership and licensing of project deliverables are governed by the applicable Engagement Agreement. Unless that agreement expressly states otherwise, each party retains ownership of materials, technology, know-how, methods, templates, tools, data, and intellectual property developed or acquired independently of the engagement (“Background Materials”). Good Source may reuse generalized skills, ideas, experience, and know-how that do not disclose Client Materials or confidential information.
If Good Source assigns specified custom deliverables to the client, the assignment is effective only after full payment of all amounts due for those deliverables and excludes Good Source Background Materials and third-party components. Good Source grants the client the license stated in the Engagement Agreement for embedded Background Materials. Open-source and third-party components remain subject to their applicable licenses.
Client feedback may be used to improve our services without restriction provided we do not identify the client or disclose confidential information. Good Source will not publicly use a client’s name, logo, or case study without permission.
8. Confidentiality and data protection
Project confidentiality obligations are set out in the Engagement Agreement or a separate nondisclosure agreement. In the absence of one, each party will use reasonable care to protect nonpublic information disclosed by the other that is marked confidential or reasonably understood to be confidential; use it only for evaluating or performing the engagement; and disclose it only to personnel and advisers who need to know and are bound by appropriate obligations.
Confidential information does not include information the recipient can demonstrate was lawfully known without restriction, becomes public without breach, is received lawfully from a third party without duty, or is independently developed without use of the discloser’s confidential information. A recipient may disclose information when legally compelled after giving notice where permitted and reasonable assistance at the discloser’s expense.
Personal information is handled as described in our Privacy Policy and any project-specific data-processing agreement. The client remains responsible for determining whether its intended use of a system or AI workflow meets sector-specific, privacy, employment, consumer-protection, and other regulatory requirements unless a written scope expressly states otherwise.
9. Artificial intelligence and automated systems
AI and machine-learning systems are probabilistic and may produce incomplete, inaccurate, biased, inconsistent, or unexpected outputs. Performance can change based on inputs, context, model versions, provider changes, and real-world data. Unless expressly stated in an Engagement Agreement, AI outputs are not guaranteed to be correct, unique, non-infringing, or suitable for high-risk or fully autonomous decisions.
The client must apply appropriate human review, testing, access controls, monitoring, and legal or domain-expert oversight before relying on outputs, particularly where decisions may affect legal rights, safety, employment, credit, healthcare, regulated activity, or significant customer interests. Good Source will not deploy client data to train a public or third-party model except as authorized in the applicable scope and subject to agreed controls.
10. Limited warranty and disclaimers
Good Source warrants that paid consulting services will be performed in a professional and workmanlike manner consistent with generally accepted industry practices. The client’s exclusive remedy for a proven breach of this service warranty is reperformance of the affected services if the client gives detailed written notice within thirty (30) days after performance. If reperformance is not commercially reasonable, Good Source may refund the fees paid for the specific nonconforming services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL PUBLIC CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR AN EXPRESS WARRANTY IN AN ENGAGEMENT AGREEMENT, GOOD SOURCE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.
Good Source does not warrant uninterrupted or error-free access, that all vulnerabilities will be prevented, or that a proposed architecture, automation, forecast, AI output, or digital product will achieve a particular financial, commercial, compliance, conversion, or operational result. Nothing on the website is legal, tax, accounting, investment, cybersecurity certification, or regulatory advice.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER GOOD SOURCE NOR ITS MEMBERS, MANAGERS, PERSONNEL, CONTRACTORS, OR AFFILIATES WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR THIRD-PARTY CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY.
GOOD SOURCE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE IS LIMITED TO US$100. FOR A PAID ENGAGEMENT, UNLESS THE ENGAGEMENT AGREEMENT STATES A DIFFERENT CAP, GOOD SOURCE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THAT ENGAGEMENT WILL NOT EXCEED THE FEES ACTUALLY PAID TO GOOD SOURCE UNDER THE AFFECTED STATEMENT OF WORK DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
The exclusions and caps apply regardless of legal theory and form an essential basis of the parties’ bargain. They do not apply to liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions, so portions may not apply to you.
12. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Good Source and its members, managers, personnel, contractors, and affiliates from third-party claims, damages, judgments, penalties, costs, and reasonable legal fees arising from your unlawful or unauthorized website use; Client Materials; your products, business operations, or instructions; your breach of these Terms or an Engagement Agreement; or your violation of another person’s rights. This obligation is subject to prompt notice, reasonable control of the defense by the indemnifying party, and cooperation at that party’s expense. Project-specific indemnities, if any, are governed by the Engagement Agreement.
13. Suspension and termination
You may stop using the website at any time. We may suspend, modify, or discontinue any part of the website, or restrict access, without liability where reasonably necessary for security, maintenance, legal compliance, business changes, or enforcement of these Terms.
Engagement termination rights are defined in the Engagement Agreement. Unless it provides otherwise, either party may terminate for a material breach that remains uncured ten (10) days after detailed written notice, or immediately if the other party becomes insolvent, ceases business, engages in unlawful conduct connected to the project, or creates an unmitigated security or legal risk. A client may terminate for convenience on thirty (30) days’ written notice, subject to payment for work performed, committed resources, approved expenses, non-cancellable obligations, and any agreed early-termination charge.
On termination, the client must promptly pay all accrued and undisputed amounts. Each party will return or destroy confidential information as required, subject to legal retention, backups, and archival records. Provisions concerning payment, intellectual property, confidentiality, disclaimers, liability, indemnity, dispute resolution, and other terms intended by their nature to survive will survive.
14. Export controls, sanctions, and anti-corruption
You may not use the website or services in violation of US or other applicable export controls, economic sanctions, anti-boycott rules, or trade restrictions. You represent that you and your controlling parties are not prohibited persons and are not located in a comprehensively sanctioned jurisdiction where the contemplated activity would be unlawful. Each party will comply with applicable anti-bribery, anti-corruption, and anti-money-laundering laws and will not offer or accept an improper payment in connection with an engagement.
15. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, terrorism, civil unrest, labor disruption, government action, utility or internet failure, cyberattack not caused by a party’s material breach, or widespread third-party platform outage. The affected party will use reasonable efforts to notify the other, mitigate the impact, and resume performance. Payment obligations for services already performed are not excused.
16. Governing law and disputes
These Terms and any dispute concerning the website are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. Subject to any different written dispute procedure in an Engagement Agreement, the state courts located in Sheridan County, Wyoming and the United States federal court with jurisdiction over Sheridan County will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
Before filing a claim, the parties will attempt in good faith for at least thirty (30) days to resolve it through written notice and a business-level discussion, except that either party may seek urgent injunctive relief to protect confidential information, security, or intellectual-property rights. To the extent permitted by law, a claim must be brought within one year after it arose or it is permanently barred. Claims must be brought individually and not as a class, collective, or representative action where such waiver is enforceable.
17. General provisions
These Terms, the Privacy Policy, and any applicable Engagement Agreement constitute the agreement concerning their subject matter. An Engagement Agreement controls over these Terms for a conflict relating to that engagement. Neither party may assign an Engagement Agreement without written consent, except Good Source may assign it in connection with a merger, reorganization, sale of substantially all relevant assets, or affiliate transfer, provided the assignee assumes the obligations. You may not assign website rights.
Failure to enforce a term is not a waiver. If a provision is found unenforceable, it will be modified to the minimum extent needed and the rest remains effective. Headings are for convenience. “Including” means “including without limitation.” The parties are independent contractors; no partnership, agency, fiduciary, employment, or joint venture is created. Electronic records and signatures may be used where lawful.
We may update these Terms by posting the revised version and effective date. Changes apply prospectively. Continued website use after the effective date constitutes acceptance. Material changes to an active Engagement Agreement require the process stated in that agreement and are not made solely by changing these website Terms.
18. Contact and legal notices
Questions about these Terms may be sent to contact@goodsourcellc.com. Formal notices to Good Source must be sent by email with confirmation of receipt and, where required by an Engagement Agreement, by recognized courier to:
